ARTICLE 1 - LOVELAND FISHING CLUB
Section 1 The name of this organization is Loveland Fishing Club (hereinafter "the club"). It is a non-profit organization of volunteers.
ARTICLE 2 - PURPOSES
The purpose of the club is to foster interest in fishing. We intend to accomplish this by:
1. encouraging members to participate in various fishing events;
2. supplying information about fishing and fishing techniques to members;
3. instructing and aiding members in the art of angling;
4. sponsoring competition and other activities to keep members' interest stimulated;
5. promoting ethical fishing;
6. assisting and encouraging the youth of our community to participate in the enjoyment of angling;
7. doing volunteer work to improve fish habitat.
To the above listed items we dedicate our efforts, and accept the responsibility and challenge of promoting interest in safe fishing activities.
ARTICLE 3 - BOARD OF DIRECTORS
Section 1 - The Board of Directors (hereinafter "Board") shall consist of the duly elected officers of President, Vice President, Secretary, Treasurer, Activities Chairperson, Program Chairperson, and as many appointed officers as the Board deems necessary by a majority vote of said Board.
Section 2 Vacancies occurring in the Board shall be filled by an appointment made by the President and approved by the Board, such appointees serving until their successors have been duly elected.

ARTICLE 4 - MEMBERSHIPS
Section 1 - The President shall appoint a Membership Committee of three members.
Section 2 - New members must be citizens of the U.S. of A. and residents of the State of Colorado, be sponsored by a member, attend two club meetings or events, thereafter be recommended by the Membership Committee and approved by a majority vote of the members at a regularly scheduled club meeting. No person will be denied membership to this organization on the basis of age, race, creed, religion, gender, or national origin, except that minors under age 18 will be denied membership unless they have a legally responsible adult who is a member, and will accompany said minor on all club activities which the minor will attend.
Section 3 - The action of the club in rejecting an applicant, either by the Membership Committee or by the membership vote, will be final, and the club will not give any explanation other than that such action was in the best interests of the club.
Section 4 - Members must pay annual dues set by the Board in a timely manner, and attend at least one-half of all scheduled club meetings and events each calendar year. Failure to do so, without extenuating circumstances, such as ill health, may cause the Membership Committee to recommend to the club that such membership be terminated.
Section 5- Members shall have the following privileges:
A. right to vote and hold office;
B. right to the full use of club facilities, and equipment;
C. right to invite guests to club activities in accordance with rules prescribed by the Board.
Section 6 - Any member may be asked by the Board to resign from the club, or may have their membership terminated by a majority vote of the Board, for acts unbecoming a true sportsperson, or acts which have been or could be injurious to other members and/or the club.

Section 7 Memberships cannot be transferred, and there shall be no transfer of properties, interest, or privileges of the club from a resigning or terminated member to another person.
ARTICLE 5 - FEES and DUES
Section 1 The yearly dues of the Loveland Fishing Club may be set, increased or decreased from time to time at the discretion of the Board, acting on the recommendation of the Membership Committee.
Section 2 Dues are payable upon approval of an applicant's membership, and thereafter immediately after the start of the clubs fiscal year, January 1st. New members joining in the first six months of the fiscal year shall pay full dues for that year. New members joining in the last six months of the fiscal year shall pay one-half of the full years dues for that year. Members of the Chilson Senior Center, City of Loveland, shall be entitled to a $5 reduction in dues for any full year.
Section 3 Dues shall be made payable to the Loveland Fishing Club. Members who are in arrears for 90 days or more on payment of their annual dues, shall have their membership terminated as provided above.
ARTICLE 6 - OFFICERS and DIRECTORS
Section 1 The elected officers of the club shall be: PRESIDENT,
VICE-PRESIDENT, SECRETARY, TREASURER, ACTIVITIES CHAIRPERSON, and MEETING CHAIRPERSON.
Section 2 PRESIDENT the duties of the President are to:
A. preside at all meetings of the general membership and the Board;
B. sign, with the Secretary, the record of proceedings of meetings;
C. sign and execute all contracts, conveyances and obligations of the club;
D. call special meetings of the Board, as necessary;
E. perform such other duties of the office as the Board may from time to time deem necessary.

Section 3 VICE-PRESIDENT - the duties of the Vice-President are to:
A. assist the President in the discharge of Presidential duties, act as President at meetings and events when the President is absent, and in the case of an absence from or vacancy in the office of the President, act as the President;
B. act as coordinator of the activities of all appointed officers and chairpersons of the club, and shall keep informed of matters of the
appointed officers in order to keep the Board informed of those activities;
C. be the President-elect;
D. perform all other duties consistent with the office of Vice- President.
Section 4 SECRETARY the duties of the Secretary are to:
A. keep a record of the proceedings at the Board meetings;
B. keep minutes of regular membership meetings;
C. keep and maintain club records and files;
D. report on correspondence received, and write such correspondence as shall be required by the Board;
E. sign jointly with the President any and all instruments necessary for the business of the club;
F. perform all other duties consistent with the office of Secretary.
Section 5 - TREASURER the duties of the Treasurer are to:
A. receive and collect all funds owed to the club;
B. render to the Board a list of all members who are delinquent in paying dues;
C. mail notices of delinquent dues, and collects dues;
D. be custodian of all club funds and deposits in the clubs bank accounts; keep records of the clubs funds and disbursements in proper books provided for that purpose;
E. provide financial reports at each Board meeting, and general membership meeting;
F. pay all bills as approved by the Board; jointly, with the President, sign all checks and drafts on behalf of the club;

G. assist the President with the preparation of the annual budget, for approval of the Board;
H. perform all other duties consistent with the office of Treasurer.
Section 6 - ACTIVITIES CHAIRPERSON - the duties of the Activities Chairperson are to:
A. plan and manage all of the club's outings and activites; establish, and publish a calendar of club outings and activities for each upcoming month; inform the membership of the results of events just past, giving appropriate recognition to all participants;
B. perform all other duties consistent with the office of Activities Chairperson.
Section 7 - MEETING CHAIRPERSON - the duties of the Meeting Chairperson are to:
A. arrange for programs of interest to the membership to be presented at each regular meeting of the members;
B. perform all other duties consistent with the office of Meeting Chairperson.
ARTICLE 7 - GOVERNANCE
Section 1 The entire control, direction and management of all affairs of the club shall be invested in the Board, consisting of the elected officers, and as many appointed officers and appointed chairpersons as the Board deems necessary.
Section 2 - The Board will operate the Club on a cash basis from the dues money in the Club treasury. It will incur no debt other than 30-day account debt for which there must be money in the treasury to cover said debt at the time such debt is incurred.
Section 3 The retiring President shall, upon expiration of his/her term of office, become a non-voting member of the Board for the term of one (1) year, and shall be entitled to the permanent designation of, Past President.

Section 4 - Any officer or chairperson, elected or appointed, may be asked to resign their position for: acts that are found by the Board to be unbecoming as an officer or chairperson of the club, or which could prove deletorious to the club; for lack of participation in club events; or for unreasonable absences or dereliction of duty. If said officer or chairperson doesn't thereafter immediately resign, they may be removed from office by a unanimous vote of all other members of the Board.
Section 5 - A majority of the then Board shall constitute a quorum for the conduct of Board business and actions.
Section 6 The Board from time to time may create committees, headed by appointed chairpersons, that the Board may deem necessary to transact and expedite the business and/or activities of the club.
Section 7 - The following is a list of suggested appointed chairpersons:
A. Contact Chairperson - duties shall be to establish a contact tree of member telephone numbers, addresses, and email addresses to allow the club to keep the membership informed of events on short notice.
B. Parliamentarian - the parliamentarian shall be be the immediate Past President, and will be responsible for maintaining proper order at all meetings of the club, including Board meetings.
C. Historian - duties shall include keeping official historical records of the club. These shall include, (but are not limited to):
copies of newsletters, photos, news releases, newspaper articles, minutes, and rosters of attendance at the Club functions, in albums provided by the Board for the purpose.
ARTICLE 8 MEETINGS
Section 1 - There shall be an annual meeting of the general membership, held at a time and place to be fixed by the Board, for the purpose of the nomination, election and installation of new officers, and the announcement of the new Board.

Section 2 - There shall be such regular meetings as the Board may schedule.
Section 3 - Regular meetings of the Board, and any special meetings of the members, shall be held at any time and place as may be fixed by the Board.
ARTICLE 9 ELECTIONS
Section 1 - At least 30 days before the annual meeting of the membership, the Board shall select a Nominating Committee consisting of the Vice-President, Secretary, and Treasurer.
Section 2 - The Secretary shall receive the nominations of the Nominating Committee and, thirty (30) days prior to the annual general meeting, shall present to all members the slate of such nominees by notice to the general membership, together with a notice of the annual general meeting. Such notices must be sent by regular U.S. mail or email.
Section 3 - At least 55% of the club membership on the date of the annual general meeting must be present at said meeting for the conduct of a valid election.
Section 4 - Nothing herein contained shall be construed as restraining the nomination from the floor of qualified active members other than those named by the nominating committee. At the annual general meeting those nominated by the nominating committee, and any others who may be nominated from the floor, shall be voted upon by members in attendance.
Section 5 - All voting must be in person. The nominee receiving the highest number of votes for each elective office shall be declared elected.
Section 6 - All elected officers shall serve their term of office for the period of the clubs fiscal year.

ARTICLE 10 - AMENDMENTS TO BYLAWS
Section 1 - Proposals to amend or add to these bylaws may be made at any time by a majority of the Board. Any such amendment shall only become valid and binding after being voted on and passed by a majority of the members present at any regular or annual general meeting, or any special meeting called for that purpose. Notice of the proposed amendment to, or addition to, the bylaws, and of any special meeting, shall be announced to the general membership by notice as prescribed above, or in the club newsletter, at least thirty (30) days prior to the vote.
Section 2 At least a majority of the active membership on the date of the meeting must be present at any such meeting for a valid vote on such proposed amendments or additions to the bylaws.
